ISO Partnership Agreement

Agreement Preamble

THIS REFERRAL AGREEMENT ("Agreement") is made effective as of the date signed below ("Effective Date") by and between SPLIT LLC, a NORTH CAROLINA LLC (DBA: Saber Payments), having a primary address at 5540 Centerview Dr Ste 204 #503507 Raleigh NC 27606 and the undersigned Independent Sales Office ("ISO"). Split LLC and ISO are individually referred to herein as "Party" and collectively as the "Parties." WHEREAS, Split LLC provides merchant cash advances (the "Program") to commercial businesses ("Merchants") in exchange for the future account's receivables due to the Merchant and/or a percentage of the proceeds of future sales of Merchants for an amount agreed to by Split LLC and the Merchant; WHEREAS, ISO wishes to promote the Program, assist with its implementation and refer potential Merchants to Split LLC that may wish to participate in the Program all subject to the terms and conditions outlined herein; and NOW THEREFORE, in consideration of the mutual promises herein made and in consideration of the covenants and agreements herein contained and other good and valuable consideration, the receipt and sufficiency whereof is hereby acknowledged, and intending to be legally bound hereby, the Parties agree as follows:

IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed as of the date signed below. By signing below, ISO agrees to this Agreement and the ISO Compensation Schedule attached hereto as Schedule A.
